Bu, <strong>\u015firketi temsil etme ve y\u00f6netme y\u00f6n\u00fcndeki hukuki yetkiyi<\/strong> sa\u011flar. M\u00fcd\u00fcr bu kapsamda bir \u00e7al\u0131\u015fan olarak de\u011fil, <strong>GmbH\u2019nin organ\u0131<\/strong> olarak hareket eder. \u015eirket ad\u0131na kararlar al\u0131r ve \u015firketin usul\u00fcne uygun y\u00f6netilmesinden sorumluluk \u00fcstlenir.   <\/p>\n\n<p class=\"wp-block-paragraph\">Bundan ayr\u0131lmas\u0131 gereken ise <strong>hizmet s\u00f6zle\u015fmesi ili\u015fkisidir<\/strong>. Bu ili\u015fki, somut \u00e7al\u0131\u015fma ko\u015fullar\u0131n\u0131 d\u00fczenleyen bir <strong>hizmet s\u00f6zle\u015fmesine<\/strong> dayan\u0131r. \u00dccret, izin veya fesih s\u00fcreleri gibi hususlar buna dahildir. M\u00fcd\u00fcr hukuken \u00f6zel bir konuma sahip olsa da bu ili\u015fki klasik bir i\u015f ili\u015fkisine benzer.   <\/p>\n\n<p class=\"wp-block-paragraph\">Uygulama a\u00e7\u0131s\u0131ndan belirleyici olan \u015fudur:<\/p>\n\n<ul class=\"wp-block-list\">\n<li><strong>Organ s\u0131fat\u0131 azil veya istifa ile sona erer<\/strong><\/li>\n\n\n\n<li><strong>Hizmet s\u00f6zle\u015fmesi ili\u015fkisi ise bundan ilk etapta etkilenmez<\/strong><\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\">Bu durum s\u0131kl\u0131kla yanl\u0131\u015f anlamalara yol a\u00e7ar. Bir m\u00fcd\u00fcr azledilmi\u015f olabilir; ancak ayr\u0131ca sona erdirilmedi\u011fi s\u00fcrece <strong>hizmet s\u00f6zle\u015fmesi<\/strong> yine de y\u00fcr\u00fcrl\u00fckte kalabilir. Bu durumda \u00f6rne\u011fin <strong>\u00fccret alacaklar\u0131 veya feshe ili\u015fkin konular<\/strong> h\u00e2l\u00e2 a\u00e7\u0131k olabilir.  <\/p>\n\n<h2 class=\"wp-block-heading\" id=\"h-abberufung-des-geschaftsfuhrers\">M\u00fcd\u00fcr\u00fcn azli<\/h2>\n\n<p class=\"wp-block-paragraph\"><strong>M\u00fcd\u00fcr\u00fcn azli<\/strong>, organ s\u0131fat\u0131n\u0131 sona erdirmenin temel yoludur. Ortaklar taraf\u0131ndan ger\u00e7ekle\u015ftirilir ve GmbH hukukunda bilin\u00e7li olarak esnek \u015fekilde d\u00fczenlenmi\u015ftir. <\/p>\n\n<p class=\"wp-block-paragraph\">Kural olarak ortaklar, bir m\u00fcd\u00fcr\u00fc <strong>her zaman azledebilir<\/strong>; bunun i\u00e7in mutlaka \u00f6zel bir gerek\u00e7e g\u00f6stermek zorunda de\u011fildirler.<\/p>\n\n<p class=\"wp-block-paragraph\">Bu esneklik \u015firketi korur. G\u00fcven kayb\u0131 veya stratejik g\u00f6r\u00fc\u015f ayr\u0131l\u0131klar\u0131 gibi de\u011fi\u015fikliklere h\u0131zl\u0131 tepki verilmesini sa\u011flar. Ancak m\u00fcd\u00fcrler a\u00e7\u0131s\u0131ndan bir risk de olu\u015fturabilir; \u00e7\u00fcnk\u00fc konumlar\u0131 kal\u0131c\u0131 olarak g\u00fcvence alt\u0131nda de\u011fildir.  <\/p>\n\n<p class=\"wp-block-paragraph\">Bu nedenle uygulamada iki d\u00fczey rol oynar:<\/p>\n\n<ul class=\"wp-block-list\">\n<li><strong>azlin hukuki imk\u00e2n\u0131<\/strong><\/li>\n\n\n\n<li><strong>arka plandaki s\u00f6zle\u015fmesel sonu\u00e7lar<\/strong><\/li>\n<\/ul>\n\n<h3 class=\"wp-block-heading\" id=\"h-abberufung-durch-gesellschafterbeschluss\">Ortaklar kurulu karar\u0131yla g\u00f6revden alma<\/h3>\n\n<p class=\"wp-block-paragraph\"><strong>Ortaklar karar\u0131yla azil<\/strong> kurald\u0131r. Ortaklar birlikte, bir m\u00fcd\u00fcr\u00fcn g\u00f6revde kal\u0131p kalmayaca\u011f\u0131na karar verir. <\/p>\n\n<p class=\"wp-block-paragraph\">Uygulamada, \u015firket s\u00f6zle\u015fmesinde aksi \u00f6ng\u00f6r\u00fclmedik\u00e7e \u00e7o\u011fu zaman <strong>basit \u00e7o\u011funluk<\/strong> yeterlidir. \u0130\u00e7 ili\u015fkide belirleyici olan, azlin <strong>ge\u00e7erli \u015fekilde karara ba\u011flanmas\u0131<\/strong> ve <strong>m\u00fcd\u00fcre bildirilmesidir<\/strong>. <\/p>\n\n<p class=\"wp-block-paragraph\">Ancak \u015firket s\u00f6zle\u015fmesi bu serbestiyi s\u0131n\u0131rlayabilir. S\u00f6zle\u015fmeler s\u0131kl\u0131kla azli belirli \u015fartlara ba\u011flayan h\u00fck\u00fcmler i\u00e7erir. Tipik olan, azlin <strong>yaln\u0131zca hakl\u0131 sebeple m\u00fcmk\u00fcn oldu\u011funun<\/strong> kararla\u015ft\u0131r\u0131lmas\u0131d\u0131r.  <\/p>\n\n<p class=\"wp-block-paragraph\">Bunun somut etkileri \u015funlard\u0131r:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Ortaklar s\u0131n\u0131rs\u0131z karar serbestisini kaybeder<\/li>\n\n\n\n<li>M\u00fcd\u00fcr <strong>daha fazla istikrar ve koruma<\/strong> elde eder<\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\">Bu t\u00fcr d\u00fczenlemeler, keyfi bir azle kar\u015f\u0131 kendilerini g\u00fcvenceye almak isteyen az\u0131nl\u0131k ortaklar a\u00e7\u0131s\u0131ndan \u00f6zellikle \u00f6nemlidir.<\/p>\n\n<p class=\"wp-block-paragraph\">Bu nedenle her zaman \u015firket s\u00f6zle\u015fmesine bakmak belirleyicidir. Ortaklar\u0131n ger\u00e7ekte ne \u00f6l\u00e7\u00fcde serbest\u00e7e karar verebilece\u011fini ve hukuki s\u0131n\u0131rlar\u0131n ne zaman devreye girdi\u011fini o belirler. <\/p>\n\n<h3 class=\"wp-block-heading\" id=\"h-abberufung-ohne-wichtigen-grund\">Hakl\u0131 sebep olmaks\u0131z\u0131n azil<\/h3>\n\n<p class=\"wp-block-paragraph\"><strong>Hakl\u0131 sebep olmaks\u0131z\u0131n azil<\/strong>, GmbH hukukunda ola\u011fan durumdur. Ortaklar, bir m\u00fcd\u00fcr\u00fc kural olarak <strong>her zaman ve serbest\u00e7e azledebilir<\/strong>; kararlar\u0131n\u0131 gerek\u00e7elendirmek zorunda de\u011fildirler. <\/p>\n\n<p class=\"wp-block-paragraph\">Bu imk\u00e2n, ortaklar\u0131n y\u00f6netim \u00fczerindeki kontrol\u00fcn\u00fc g\u00fc\u00e7lendirir. G\u00fcven yoksa veya stratejik y\u00f6n de\u011fi\u015fiyorsa h\u0131zl\u0131ca tepki verebilirler. Bunun i\u00e7in somut bir kusurlu davran\u0131\u015f \u015fart de\u011fildir.  <\/p>\n\n<p class=\"wp-block-paragraph\">Ancak bu, m\u00fcd\u00fcrler i\u00e7in belirli bir belirsizlik anlam\u0131na gelir. Konumlar\u0131 b\u00fcy\u00fck \u00f6l\u00e7\u00fcde ortaklar\u0131n g\u00fcvenine ba\u011fl\u0131d\u0131r. \u0130\u015flerini usul\u00fcne uygun yapsalar bile azil ger\u00e7ekle\u015febilir.  <\/p>\n\n<p class=\"wp-block-paragraph\">S\u00f6zle\u015fmesel d\u00fczeyle net ayr\u0131m \u00f6nemlidir:<\/p>\n\n<ul class=\"wp-block-list\">\n<li><strong>Azil yaln\u0131zca organ s\u0131fat\u0131n\u0131 sona erdirir<\/strong><\/li>\n\n\n\n<li>Hizmet s\u00f6zle\u015fmesinden do\u011fan haklar varl\u0131\u011f\u0131n\u0131 s\u00fcrd\u00fcrebilir<\/li>\n<\/ul>\n\n<h3 class=\"wp-block-heading\" id=\"h-abberufung-aus-wichtigem-grund\">Hakl\u0131 sebeple azil<\/h3>\n\n<p class=\"wp-block-paragraph\"><strong>Hakl\u0131 sebeple azil<\/strong>, \u015firket s\u00f6zle\u015fmesinin azli s\u0131n\u0131rlad\u0131\u011f\u0131 veya bir yarg\u0131 s\u00fcrecinin gerekli h\u00e2le geldi\u011fi durumlarda \u00f6nem kazan\u0131r.<\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Hakl\u0131 sebep<\/strong>, ortaklardan y\u00f6netimin s\u00fcrd\u00fcr\u00fclmesinin art\u0131k beklenemedi\u011fi h\u00e2llerde s\u00f6z konusudur. GmbH Kanunu\u2019na g\u00f6re ilgili m\u00fcd\u00fcrler ile temsil yetkilerinin sona ermesi veya de\u011fi\u015fmesi <strong>gecikmeksizin<\/strong> ticaret siciline bildirilmelidir.   <\/p>\n\n<p class=\"wp-block-paragraph\">Dolay\u0131s\u0131yla ticaret siciline daha sonra yap\u0131lacak tescil, i\u00e7 karar\u0131 de\u011fi\u015ftirmez; ancak <strong>hukuken g\u00fcvenli d\u0131\u015f etki<\/strong> bak\u0131m\u0131ndan \u00f6zellikle \u00f6nemlidir.<\/p>\n\n<h2 class=\"wp-block-heading\" id=\"h-gerichtliche-abberufung-des-geschaftsfuhrers\">M\u00fcd\u00fcr\u00fcn mahkeme karar\u0131yla azli<\/h2>\n\n<p class=\"wp-block-paragraph\"><strong>M\u00fcd\u00fcr\u00fcn mahkeme karar\u0131yla azli<\/strong>, ortaklar\u0131n m\u00fcd\u00fcr\u00fc <strong>kendileri ge\u00e7erli \u015fekilde azledemedi\u011fi<\/strong> durumlarda g\u00fcndeme gelir. Bu, \u00f6rne\u011fin \u00e7o\u011funluk dengelerinin kilitlendi\u011fi h\u00e2llerde s\u00f6z konusudur. <\/p>\n\n<p class=\"wp-block-paragraph\">\u0130spat y\u00fck\u00fc davac\u0131 ortaklardad\u0131r. M\u00fcd\u00fcr\u00fcn faaliyetine devam etmesinin neden art\u0131k katlan\u0131labilir olmad\u0131\u011f\u0131n\u0131 anla\u015f\u0131l\u0131r \u015fekilde ortaya koymalar\u0131 gerekir. <\/p>\n\n<h3 class=\"wp-block-heading\" id=\"h-einstweilige-massnahmen-zum-schutz-der-gesellschaft\">\u015eirketin korunmas\u0131na y\u00f6nelik ge\u00e7ici tedbirler<\/h3>\n\n<p class=\"wp-block-paragraph\">Bir yarg\u0131 s\u00fcreci devam ederken \u015firket a\u00e7\u0131s\u0131ndan durum kritik h\u00e2le gelebilir. Ancak \u015firket a\u00e7\u0131s\u0131ndan da bir zorluk yaratabilir; \u00e7\u00fcnk\u00fc y\u00f6netim aniden ortadan kalkar. <\/p>\n\n<h3 class=\"wp-block-heading\" id=\"h-rucktritt-unter-einhaltung-einer-frist\">S\u00fcreye uyarak istifa<\/h3>\n\n<p class=\"wp-block-paragraph\">Hakl\u0131 sebep yoksa istifa <strong>hemen<\/strong> de\u011fil, kanuni bir s\u00fcreye uyularak ger\u00e7ekle\u015fir.
