Zat\u00edmco v n\u00e1jemn\u00edm pr\u00e1vu \u2013 a tedy i pro n\u00e1jemn\u00ed smlouvu \u2013 existuje \u0159ada z\u00e1konn\u00fdch ustanoven\u00ed, u pachtu tomu tak nen\u00ed. Dokonce i t\u011bch n\u011bkolik m\u00e1lo z\u00e1konn\u00fdch \u00faprav, kter\u00e9 existuj\u00ed, lze zpravidla smluvn\u011b zm\u011bnit, a t\u00edm do ur\u010dit\u00e9 m\u00edry obej\u00edt. To je o to p\u0159ekvapiv\u011bj\u0161\u00ed, \u017ee pacht m\u00e1 v praxi obrovsk\u00fd v\u00fdznam.    <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_2__Wer_ist_der_Verpaechter_\"><strong>Kdo je propachtovatel?<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">V praxi se m\u016f\u017ee docela dob\u0159e st\u00e1t, \u017ee vlastn\u00edk pachtovn\u00edho objektu nen\u00ed skute\u010dn\u00fdm propachtovatelem. V takov\u00fdchto konstelac\u00edch je d\u016fle\u017eit\u00e9 objasnit, jak\u00e1 dohoda o u\u017e\u00edv\u00e1n\u00ed existuje mezi vlastn\u00edkem a propachtovatelem a zda je pacht v\u016fbec mo\u017en\u00fd.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_3__Miete_oder_Pacht_\"><strong>Miete oder Pacht?<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Chcete st\u00e1vaj\u00edc\u00ed podnik (v\u010detn\u011b z\u00e1kaznick\u00e9 z\u00e1kladny a invent\u00e1\u0159e) \u201ep\u0159edat\u201c t\u0159et\u00ed osob\u011b, ani\u017e byste jej prodali? V tomto p\u0159\u00edpad\u011b se jedn\u00e1 o typickou pachtovn\u00ed smlouvu. <\/p>\n\n<p class=\"wp-block-paragraph\">N\u00e1jemn\u00ed smlouva je v ka\u017ed\u00e9m p\u0159\u00edpad\u011b d\u00e1na tehdy, pokud jsou pronaj\u00edm\u00e1ny pouze \u201epr\u00e1zdn\u00e9\u201c prostory.<\/p>\n\n<p class=\"wp-block-paragraph\">D\u016fle\u017eit\u00e9: <\/p>\n\n<p class=\"wp-block-paragraph\">Pokud pacht\u00fd\u0159 koup\u00ed cel\u00fd invent\u00e1\u0159 (\u010dasto formou \u201eodstupn\u00e9ho za investice\u201c), m\u016f\u017ee to p\u0159edstavovat koupi podniku. To m\u00e1 za n\u00e1sledek, \u017ee nabyvatel p\u0159eb\u00edr\u00e1 ve\u0161ker\u00e9 z\u00e1vazky p\u0159edch\u016fdce. V takov\u00e9m p\u0159\u00edpad\u011b se doporu\u010duje vypracovat podrobnou kupn\u00ed smlouvu a p\u0159esn\u011b upravit st\u00e1vaj\u00edc\u00ed star\u00e9 dluhy.   <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_4__Unbefristet_oder_befristet_\"><strong>Na dobu neur\u010ditou nebo ur\u010ditou?<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Pachtovn\u00ed smlouvu na dobu neur\u010ditou m\u016f\u017ee vypov\u011bd\u011bt kter\u00e1koli ze stran bez ud\u00e1n\u00ed d\u016fvodu p\u0159i dodr\u017een\u00ed dohodnut\u00fdch lh\u016ft a term\u00edn\u016f, bez dohody se 6m\u011bs\u00ed\u010dn\u00ed lh\u016ftou ke konci kalend\u00e1\u0159n\u00edho pololet\u00ed. Dohoda o smluvn\u00edm vzd\u00e1n\u00ed se pr\u00e1va na v\u00fdpov\u011b\u010f na ur\u010dit\u00e9 obdob\u00ed m\u016f\u017ee b\u00fdt smyslupln\u00e1 a nezbytn\u00e1 k zaji\u0161t\u011bn\u00ed pacht\u00fd\u0159e, zejm\u00e9na pokud provedl investice. <\/p>\n\n<h4 class=\"wp-block-heading\" id=\"heading_Es_gibt_keinen_gesetzlichen_Kuendigungsschutz_\">Neexistuje \u017e\u00e1dn\u00e1 z\u00e1konn\u00e1 ochrana p\u0159ed v\u00fdpov\u011bd\u00ed.<\/h4>\n\n<p class=\"wp-block-paragraph\">Smlouva na dobu ur\u010ditou znamen\u00e1, \u017ee po dobu trv\u00e1n\u00ed doby ur\u010ditosti nem\u016f\u017ee vypov\u011bd\u011bt ani propachtovatel, ani pacht\u00fd\u0159. Je v\u0161ak p\u0159\u00edpustn\u00e9 smluvn\u011b dohodnout mo\u017enost v\u00fdpov\u011bdi krom\u011b doby ur\u010ditosti. <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_5__Erhaltungspflichten\"><strong>Povinnosti \u00fadr\u017eby<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Pr\u00e1vn\u011b jasn\u00e1 \u00faprava povinnost\u00ed \u00fadr\u017eby neexistuje. V z\u00e1sad\u011b panuje do zna\u010dn\u00e9 m\u00edry smluvn\u00ed volnost \u2013 povinnosti \u00fadr\u017eby tak mohou b\u00fdt mezi stranami individu\u00e1ln\u011b dohodnuty.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_6__Umbauten\"><strong>P\u0159estavby<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">P\u0159estavby nejsou v z\u00e1sad\u011b z\u00e1konem povoleny. Ji\u017e pl\u00e1novan\u00e9 p\u0159estavby by proto m\u011bly b\u00fdt v\u017edy upraveny, resp. povoleny v pachtovn\u00ed smlouv\u011b.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_7__Rueckstellung_des_Pachtobjektes\"><strong>Vr\u00e1cen\u00ed pachtovn\u00edho objektu<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Pachtovn\u00ed objekt je v z\u00e1sad\u011b v\u017edy nutn\u00e9 vr\u00e1tit ve stavu, v jak\u00e9m byl p\u0159evzat, s p\u0159ihl\u00e9dnut\u00edm k p\u0159irozen\u00e9mu opot\u0159eben\u00ed. <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_8__Investitionsabloese\"><strong>Odstupn\u00e9 za investice<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Odstupn\u00e9 za investice (nap\u0159. za p\u0159evzat\u00fd invent\u00e1\u0159) je v praxi zpravidla vylou\u010deno. Pokud by bylo shodnou v\u016fl\u00ed stran, \u017ee m\u00e1 b\u00fdt odstupn\u00e9 za investice dlu\u017en\u00e9, m\u011bla by b\u00fdt uzav\u0159ena v\u00fdslovn\u00e1 smluvn\u00ed dohoda.  <\/p>\n\n<p class=\"wp-block-paragraph\">Pr\u00e1v\u011b v t\u00e9to souvislosti je mimochodem t\u0159eba db\u00e1t na to, aby \u00fapravy byly koncipov\u00e1ny tak, aby z pr\u00e1vn\u00edho hlediska existovala pouze pachtovn\u00ed smlouva, a nikoli koup\u011b podniku. <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_9__Betriebskosten\"><strong>Provozn\u00ed n\u00e1klady<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Proto\u017ee chyb\u00ed z\u00e1konn\u00e1 \u00faprava stejn\u011b jako z\u00e1konn\u00e1 definice provozn\u00edch n\u00e1klad\u016f, m\u011bly by b\u00fdt provozn\u00ed n\u00e1klady v pachtovn\u00ed smlouv\u011b definov\u00e1ny a vyjmenov\u00e1ny taxativn\u011b (nikoli: \u201ezejm\u00e9na\u201c) a m\u011bl by b\u00fdt dohodnut re\u017eim vy\u00fa\u010dtov\u00e1n\u00ed (nap\u0159. m\u011bs\u00ed\u010dn\u00ed pau\u0161\u00e1ln\u00ed \u010d\u00e1stky s ro\u010dn\u00edm vy\u00fa\u010dtov\u00e1n\u00edm do \u010dervna n\u00e1sleduj\u00edc\u00edho roku). <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punk_10__Pachtzins\"><strong>Pachtovn\u00e9<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Doporu\u010duje se sjednat p\u0159esnou \u00fapravu pachtovn\u00e9ho, proto\u017ee to nelze zp\u011btn\u011b jednostrann\u011b zm\u011bnit. Indexov\u00e1 \u00faprava je p\u0159\u00edpustn\u00e1, pokud byla smluvn\u011b dohodnuta.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_11__Vertraege\"><strong>Smlouvy<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Smlouvy (jako nap\u0159. pracovn\u00ed smlouvy st\u00e1vaj\u00edc\u00edch zam\u011bstnanc\u016f) zpravidla automaticky nep\u0159ech\u00e1zej\u00ed na pacht\u00fd\u0159e.
