Dok u zakonu o najmu \u2013 a time i za ugovor o najmu \u2013 postoje brojne zakonske odredbe, to nije slu\u010daj sa zakupom. \u010cak i one malobrojne zakonske odredbe koje postoje, u pravilu se mogu ugovorom izmijeniti i time do odre\u0111ene mjere zaobi\u0107i. To je utoliko iznena\u0111uju\u0107e \u0161to je zakup u praksi od iznimne va\u017enosti.    <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_2__Wer_ist_der_Verpaechter_\"><strong>Ko je zakupodavac?<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">U praksi se mo\u017ee dogoditi da vlasnik zakupljenog objekta nije stvarni zakupodavac. U takvim je situacijama va\u017eno razjasniti koji ugovor o kori\u0161tenju postoji izme\u0111u vlasnika i zakupodavca i je li zakup uop\u0107e mogu\u0107.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_3__Miete_oder_Pacht_\"><strong>Najam ili zakup?<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">\u017delite li postoje\u0107e poduze\u0107e (uklju\u010duju\u0107i bazu klijenata i inventar) &#8220;proslijediti&#8221; tre\u0107oj strani bez prodaje? U tom slu\u010daju imate tipi\u010dan ugovor o zakupu. <\/p>\n\n<p class=\"wp-block-paragraph\">Ugovor o najmu postoji u svakom slu\u010daju ako se iznajmljuju samo &#8220;prazni&#8221; prostori.<\/p>\n\n<p class=\"wp-block-paragraph\">Va\u017eno: <\/p>\n\n<p class=\"wp-block-paragraph\">Ako zakupac kupi cijeli inventar (\u010desto putem &#8220;naknade za ulaganje&#8221;), to mo\u017ee predstavljati kupnju poduze\u0107a. To zna\u010di da preuzimatelj preuzima sve obveze prethodnika. U takvom je slu\u010daju preporu\u010dljivo sastaviti detaljan ugovor o kupnji i to\u010dno regulirati postoje\u0107e stare dugove.   <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_4__Unbefristet_oder_befristet_\"><strong>Neodre\u0111eno ili odre\u0111eno vrijeme?<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Ugovor o zakupu na neodre\u0111eno vrijeme mo\u017ee se otkazati s obje strane bez navo\u0111enja razloga, uz po\u0161tivanje dogovorenih rokova i termina, bez dogovora uz 6-mjese\u010dni rok do kraja kalendarske polovice godine. Dogovor o ugovornom odricanju od prava na otkazivanje na odre\u0111eno vrijeme mo\u017ee biti smislen i nu\u017ean za osiguranje zakupca, osobito ako je izvr\u0161io ulaganja. <\/p>\n\n<h4 class=\"wp-block-heading\" id=\"heading_Es_gibt_keinen_gesetzlichen_Kuendigungsschutz_\">Ne postoji zakonska za\u0161tita od otkaza.<\/h4>\n\n<p class=\"wp-block-paragraph\">Ugovor na odre\u0111eno vrijeme zna\u010di da ni zakupodavac ni zakupac ne mogu otkazati ugovor za vrijeme trajanja ugovora. Me\u0111utim, dopu\u0161teno je ugovorom dogovoriti mogu\u0107nost otkaza uz ograni\u010denje trajanja. <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_5__Erhaltungspflichten\"><strong>Obveze odr\u017eavanja<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Ne postoji pravno jasna regulativa o obvezama odr\u017eavanja. U na\u010delu postoji \u0161iroka sloboda ugovaranja \u2013 obveze odr\u017eavanja stoga se mogu individualno dogovoriti izme\u0111u stranaka.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_6__Umbauten\"><strong>Preinake<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">U na\u010delu, preinake zakonski nisu dopu\u0161tene. Stoga bi ve\u0107 planirane preinake uvijek trebalo regulirati ili dopustiti u ugovoru o zakupu.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_7__Rueckstellung_des_Pachtobjektes\"><strong>Povrat zakupljenog objekta<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Zakupljeni objekt u na\u010delu se uvijek mora vratiti u preuzetom stanju, uzimaju\u0107i u obzir prirodno tro\u0161enje. <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_8__Investitionsabloese\"><strong>Naknada za ulaganje<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Naknada za ulaganje (npr. za preuzeti inventar) u praksi se u pravilu isklju\u010duje. Ako je zajedni\u010dka volja stranaka da se duguje naknada za ulaganje, tada bi se trebao posti\u0107i izri\u010dit, ugovorni dogovor.  <\/p>\n\n<p class=\"wp-block-paragraph\">Upravo u tom kontekstu, uostalom, treba paziti da se propisi oblikuju na na\u010din da s pravnog gledi\u0161ta postoji \u010disti ugovor o zakupu, a ne kupnja poduze\u0107a. <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_9__Betriebskosten\"><strong>Tro\u0161kovi poslovanja<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Budu\u0107i da nedostaje zakonska regulativa, kao i zakonska definicija tro\u0161kova poslovanja, tro\u0161kovi poslovanja trebaju se kona\u010dno (ne: &#8220;osobito&#8221;) definirati i navesti u ugovoru o zakupu, kao i dogovoriti na\u010din obra\u010duna (npr. mjese\u010dni pau\u0161alni iznosi s godi\u0161njim prijebojem do lipnja sljede\u0107e godine). <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punk_10__Pachtzins\"><strong>Zakupnina<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Preporu\u010dljivo je dogovoriti to\u010dnu regulaciju zakupnine, jer se ona naknadno ne mo\u017ee jednostrano mijenjati. Prilagodba indeksa je dopu\u0161tena ako je to ugovoreno.  <\/p>\n\n<p class=\"wp-block-paragraph\" id=\"heading_Punkt_11__Vertraege\"><strong>Ugovori<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Ugovori (kao \u0161to su ugovori o radu postoje\u0107ih zaposlenika) u na\u010delu ne prelaze automatski na zakupca.
